Terms and Conditions

Please read these Terms and Conditions carefully before using our Service, purchasing a course, and/or attending a WILM CME course.

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Company (referred to as either "the Company", “WILM”, "We", "Us" or "Our" in this Agreement) refers to Western Institute of Legal Medicine (WILM), 1700 South El Camino Real, Suite 408, San Mateo, CA 94402.

Device means any device that can access the Service such as a computer, a cellphone, or a digital tablet.

Courses refer to the CME courses offered for sale on the Service.

Orders mean a request by You to purchase CME Courses from Us.

Service refers to the Website.

Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service and attendance of Courses.

Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

Website refers to Western Institute of Legal Medicine (WILM), accessible from https://WILM-ed.org

You refers to the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable to make an Order to register for Courses. You also refers to the individual attending a WILM CME Course.

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and WILM. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service and Orders made for all WILM CME Courses.

Your access to and use of the Service and attendance at a WILM CME Course is conditioned on Your acceptance of and compliance with these Terms and Conditions.  These Terms and Conditions apply to all visitors, users, and others who access or use the Service and who make Orders for CME Courses using the Service and attendees of WILM CME Courses.

By accessing or using the Service, You agree to be bound by these Terms and Conditions.  If You disagree with any part of these Terms and Conditions, then You may not access the Service, register for, or attend a WILM CME Course.

You represent that You are over the age of 18. We do not permit those under 18 to use the Service or attend a WILM CME course.

Your access to and use of the Service, registration, and attendance of a WILM CME Course is also conditioned on Your acceptance of and compliance with WILM’s Privacy Policy Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information when You use the Application or the Website, and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

By placing an Order for WILM CME Courses through the Service, You warrant that You are legally capable of entering into binding contracts.

Your Information

If You wish to place an Order for WILM CME Courses available on the Service, You may be asked to supply certain information relevant to Your Order including, without limitation, Your name, Your email, Your phone number, Your credit card number, the expiration date of Your credit card, Your billing address, and additional demographic information about You, Your professional license, and the reason for taking one of WILM’s available CME Courses.

You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any Order; and that (ii) the information You supply to us is true, correct, and complete.

By submitting such information, You grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of Your Order.

Order Cancellation

WILM reserves the right to refuse or cancel Your Order at any time for certain reasons, including but not limited to:

·       Course unavailability

·       Errors in the description or prices for courses

·       Errors in Your Order

We reserve the right to refuse or cancel Your Order if fraud or an unauthorized or illegal transaction is suspected.

Order Cancellation and Course Rescheduling Policies

All Orders for WILM CME courses (“Course Registrations”) can only be cancelled or rescheduled in accordance with these Terms and Conditions and the following Course Registration Cancellation/Rescheduling Policy.

WILM understands that unforeseen events can occur.  Life happens.  WILM will try to accommodate reasonable and timely requests for rescheduling course registrants to a WILM course scheduled at a future date.  If You need to cancel or reschedule a course, please contact Us as soon as possible. 

Refunds and Rescheduling Policies:

Requests for refunds and rescheduling must be made by email and sent to administrator@wilm-ed.org .

Cancellation requests received more than 30 days ahead of a scheduled course will receive a full refund, less any credit card processing fee incurred by WILM, if any.  Requests to reschedule a registrant to a future course date will be granted without incurring additional charges, assuming space is still available for the desired future course date.

If cancellation is received more than 15 days before the commencement of the course, but less than 30 days, you will receive a 50% refund;  Requests to reschedule to a future course will incur a 5% rescheduling fee.

Cancellation requests received less than 15 days ahead of a scheduled course do not qualify for any refund, but registrants will be given the option to reschedule to a future course after paying a 10% rescheduling fee.

WILM will either send a check or process the refunded amount using the same means of payment as was used for the Course Registration order.

Payments

All Courses purchased are subject to a one-time payment. Payment can be made through various payment methods using our online payment processor PayPal.  You are not required to have a PayPal account to make payment.

Please note, payment cards (credit cards or debit cards) are sometimes subject to validation checks and authorization by Your card issuer. If we do not receive the required authorization, We will not be liable for any delay of Your Order.

Our Service may contain links to third-party websites or services that are not owned or controlled by Us.

WILM has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that WILM shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Attendee Code of Conduct

WILM and its faculty are dedicated to providing a harassment-free learning experience for participants at all of our events and courses, whether they are held in person or virtually. WILM CME Courses are conferences intended for professional continuing education and involve some aspects of networking and collaboration between attendees.  The CME Course format encourages open exchange of ideas and expression and requires an environment that recognizes the inherent worth of every person and group.

For all WILM CME Courses, either in-person or virtual, or during any related ancillary or social event, all faculty and course participants, including invited speakers, course attendees, volunteers, WILM staff, and anyone else, shall not engage in harassment in any form.

WILM strives to provide CME Courses in a relaxed and collaborative learning environment where attendees can gain practical knowledge to improve their professional skills, focus on learning, network with their colleagues, and share questions and comments.  Class participation by attendees is welcome and a key learning feature of the CME Courses We offer.  WILM wants to make sure that You participate respectfully.  Every course attendee, speaker and staff member deserves the best learning experience possible, free from discrimination or unwanted attention.  

EXPECTED BEHAVIOR

All event participants, whether attending an in-person event or a virtual event, are expected to behave in accordance with professional standards, this Code of Conduct, and any applicable policies governing appropriate workplace behavior and applicable laws.

This Code of Conduct may be revised at any time by WILM and the terms are non-negotiable.

Your registration for or attendance at any WILM CME Course or conference, whether held in person or virtually, indicates Your agreement to abide by this policy and its terms.

UNACCEPTABLE BEHAVIOR

Harassment will not be tolerated in any form, whether in person or virtually, including, but not limited to, harassment based on gender, gender identity and expression, sexual orientation, disability, physical appearance, body size, race, age, religion or any other status protected by laws in which the conference or program is being held.

Harassment includes the use of abusive, offensive or degrading language, intimidation, stalking, harassing photography or recording, inappropriate physical contact, sexual imagery and unwelcome sexual advances or requests for sexual favors. Any report of harassment at one of Our events, whether in person or virtual, will be addressed immediately. Participants asked to stop any harassing behavior are expected to comply immediately. Anyone who witnesses or is subjected to unacceptable behavior should notify a WILM faculty member at once.

Individuals who attend WILM courses, whether an in-person event or a virtual online Zoom video course, should conduct themselves at all times in a manner that comports with both the letter and spirit of this policy prohibiting harassment and abusive behavior, whether before, during or after the event.  This includes statements made in social media postings, online publications, text messages, and all other forms of electronic communication.

CONSEQUENCES OF UNACCEPTABLE BEHAVIOR

If a WILM CME Course attendee engages in harassing behavior, whether in person or virtually, We may take any action We deem appropriate depending on the circumstances, ranging from issuance of a warning to the offending individual to expulsion from the Course with no refund.  WILM reserves the right to exclude any participant found to be engaging in harassing behavior from participating in any further WILM CME Course. WILM may also be obligated to report the attendee’s conduct to the applicable licensing agency.

If a WILM CME Course participant, through postings on social media or other online publications or another form of electronic communication, engages in conduct that violates this policy, whether before, during or after a WILM course, WILM may take appropriate corrective action, which could include imposing a temporary or permanent ban on an individual’s attendance at future WILM CME Courses or events.

Expectation to Keep Course Discussions Confidential

Given the nature and format of WILM’s CME Courses, which invite thoughtful discussion by and between course attendees and WILM faculty, often involving personal stories and anecdotes, all attendees are expected to consider these classroom discussions to be confidential and private. 

While every effort is used by WILM to redact and de-identify confidential patient information shared during the course, attendees are expected to maintain their own legal, professional, and ethical obligations to keep patient information confidential if discussing or sharing details of a particular patient or scenario. 

Course Attendance Requirements

We may use Our sole discretion in determining whether to terminate or suspend Your access to WILM CME Courses immediately, without prior notice or liability, if You breach these Terms and Conditions or the WILM Code of Conduct.

Upon termination, Your right to use the Service and attend a scheduled WILM CME Course will cease immediately.

               It is Your responsibility to attend the entire course.  It is also Your duty to participate actively in the course.  WILM has a duty and responsibility to track attendee course attendance and participation.  If You are late to arrive or leave early, WILM may be required to report this to Your licensing agency. 

For WILM’s Ethics and Professionalism Course, Pursuant to Code Regs. tit. 16 § 1358.1, WILM is expected to “fail a participant who either was not actively involved in the class or demonstrated behavior indicating a lack of insight (e.g., inappropriate comments, projection of blame).” WILM is obligated to report this to the Medical Board of California.  

               Valid excuses for failed attendance attributable to emergency situations will be handled on a case-by-case basis.  WILM will try to accommodate and allow a participant to complete the course at a future course date if an unforeseen absence occurs due to health emergency, natural disaster, or other legitimate excuse. WILM reserves the right to charge additional registration fees for these unforeseen events which cause an attendee to reschedule to a future course date.

Successful completion and full CME credit for WILM CME Courses is not guaranteed.  Some WILM Courses require after-course follow-up at the 6-month and 12-month mark after completion of the classroom segment of the course. 

WILM’s CME Courses require active participation and completion of the assigned supplemental reading materials.  WILM faculty also utilize quizzes, tests, and live classroom discussions of hypotheticals that aim to test comprehension of pre-course supplemental reading materials and content and topics discussed during the course lectures. 

WILM has certain obligations to its accreditation sponsor(s) and many state licensing agencies to ensure registrants attend and successfully complete the entire course by participating and completing required assignments.  Therefore, WILM reserves its right to determine successful course completion at its absolute discretion, in accordance with course accreditation standards and the standards outlined in state agency regulations.

Notwithstanding any damages that You might incur for not receiving full-credit for a WILM CME Course, to the maximum extent permitted by applicable law, in no event shall WILM or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service or successfully complete a WILM CME Course by a specific date, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if WILM or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

The laws of the State of California, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service.

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting WILM.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, You are expected to stop using the website and the Service.
